Notice of Merger Plan Availability

In connection with the planned merger of ALTEN POLSKA Spółka z ograniczoną odpowiedzialnością, headquartered in Warsaw (00-844), at ul. Grzybowska 87, registered in the business registry maintained by the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register, under number KRS 0000340221, NIP: 5213545223, REGON: 142074853, with a share capital of PLN 500,000.00 (hereinafter the “Acquiring Company”), with ALTEN DELIVERY CENTER EASTERN EUROPE Spółka z ograniczoną odpowiedzialnością, headquartered in Gliwice (44-109), at ul. Gustawa Eiffel’a 10, registered in the business registry maintained by the District Court in Gliwice, X Commercial Division of the National Court Register, under number KRS 0000133577, NIP: 5481614740, REGON 070779658, with a share capital of PLN 550,000.00 (hereinafter “Target Company 1”), and SOLWIT Spółka Akcyjna, headquartered in Gdańsk (80-298), at ul. Azymutalna 11, registered in the business registry maintained by the District Court of Gdańsk – North in Gdańsk, VII Commercial Division of the National Court Register, under number KRS 0000393016, NIP: 5842721091, REGON 221488370, with a fully paid-up share capital of PLN 455,647.60 (hereinafter “Target Company 2”), the management boards of the merging companies, acting pursuant to Article 498 et seq. of the Polish Commercial Companies Code of 15 September 2000, on 21 October 2024, agreed upon a merger plan for the aforementioned companies (hereinafter the “Merger Plan”).

In view of the foregoing, the Management Board, pursuant to Article 500 §§ 2 and 21 of the Polish Commercial Companies Code, hereby makes the Merger Plan and its appendices publicly available free of charge.
